These Terms and Conditions ("Terms") govern all sales and supply agreements between Hibernia General Trading LLC ("Seller", "we") and the purchasing entity ("Buyer", "you"). By placing an order or accepting a Proforma Invoice, you agree to these Terms.
All quotations are valid for 7–14 days unless otherwise stated. Prices are subject to confirmation at time of order and may vary with raw material costs, freight rates and currency fluctuations.
A binding contract is formed upon Buyer's written acceptance of the Seller's Proforma Invoice or signed Sales Contract, and receipt of required advance payment or opened Letter of Credit.
Unless agreed otherwise: 100% Irrevocable L/C at sight, or 30% T/T advance + 70% T/T against scanned shipping documents. All bank charges outside UAE are borne by the Buyer.
Delivery terms follow Incoterms® 2020 as specified in the Proforma Invoice (FOB, CIF, CFR or EXW). Risk transfers to Buyer per the agreed Incoterm. Seller is not liable for delays caused by force majeure, port congestion or carrier issues.
Products are supplied to the specifications stated in the contract and accompanying Certificate of Analysis. Claims must be submitted in writing within 7 days of arrival with supporting evidence. Seller's liability is limited to replacement or credit for non-conforming material.
Third-party pre-shipment inspection (SGS, Bureau Veritas, Intertek) may be arranged at Buyer's cost. Absence of inspection does not waive Buyer's right to claim for material non-conformance within the claim period.
Neither party is liable for failure to perform due to events beyond reasonable control including natural disasters, war, sanctions, port closures, or government actions.
These Terms are governed by the laws of the United Arab Emirates. Disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise agreed in writing.
